Job Description

Legal Assistant to support the General Counsel and legal team across a wide range of legal and administrative functions. This is an excellent opportunity for someone early in their legal career who is eager to learn, highly organized, and willing to take on everything from foundational administrative tasks to more advanced legal support work as they grow.

The Legal Assistant will play a key role in keeping the legal department running smoothly — supporting transactions, maintaining legal records, coordinating with internal teams, and assisting with compliance, litigation support, and general legal operations.

This role is ideal for someone who is resourceful, curious, and excited to build a strong foundation in corporate, real estate, and transactional legal work.

Responsibilities

Transaction Support

  • Assist with the preparation, organization, and tracking of documents for acquisitions, dispositions, development deals, fund closings, and loan transactions.
  • Maintain transaction checklists, track deadlines, and help coordinate deliverables with internal teams and outside counsel.
  • Prepare signature packets, gather authority documents, and support execution logistics.
  • Organize and maintain closing binders and transaction files in an audit‑ready format.

Entity & Document Management

  • Assist with forming and maintaining legal entities, including filing annual reports, obtaining EINs, and coordinating with registered agents.
  • Help maintain corporate organizational documents, org charts, and entity records.
  • Support the creation, organization, and version control of legal templates, agreements, and internal forms.
  • Serve as a key contributor to the legal department’s document management system.

Litigation, Claims & Risk Support

  • Assist with gathering documents, organizing files, and coordinating information for active litigation matters.
  • Track incoming claims, demands, and service of process notices; escalate to the General Counsel as needed.
  • Maintain internal claim logs and help coordinate with insurance and risk management teams.

Compliance & Contract Administration

  • Support compliance filings, including Form D, Blue Sky, and investor documentation.
  • Assist with KYC/AML processes and maintain related records.
  • Help route, review for completeness, and track NDAs, vendor agreements, and other contracts.
  • Ensure documents are executed by the correct entity and authorized signatory.

General Counsel Support & Legal Operations

  • Manage calendars, reminders, and deadlines for the General Counsel and legal team.
  • Coordinate communication between the legal department and internal stakeholders with professionalism and accuracy.
  • Assist with special projects, research assignments, and administrative tasks as needed.
  • Provide general operational support to ensure the legal department functions efficiently.

Qualifications

  • 1-3 years of legal experience (internships, clerkships, or administrative legal roles welcome).
  • Strong organizational skills and exceptional attention to detail.
  • Ability to manage multiple tasks and deadlines in a fast‑paced environment.
  • Eagerness to learn and take on increasing responsibility.
  • Professional communication skills and a team‑oriented mindset.
  • Proficiency with Microsoft Office; experience with document management systems is a plus.
  • Interest in real estate, corporate law, or transactional work is preferred but not required
